Work begins only after the client approves the quotation and pays the required deposit.
5. Payments & Billing
A. Payment Structure
Most projects follow this payment structure:
- 50% deposit before any work begins
- 50% balance upon project completion or milestone delivery
Custom arrangements may be provided upon request.
B. Accepted Payment Methods
- Mobile Money
- Bank Transfer
- Card Payments
- Online Gateways
- Wire Transfer
C. Late or Non-Payment
- Work may be paused until payment is received
- Late payments may attract a fee
- After 30 days of non-payment, the project may be terminated
D. Refund Policy
Because our services involve time and expertise:
- Deposits are non-refundable
- Refunds may be offered only in rare cases, at our discretion
6. Client Responsibilities
You agree to:
- Provide accurate information for your project
- Supply required content, files, images, or access credentials
- Respond to messages promptly
- Review and approve project milestones quickly
- Ensure all information provided is legally owned or permitted for use
We are not responsible for delays caused by the client.
7. Intellectual Property Rights
A. Company Rights
All custom software, code, designs, strategies, and IT solutions created by Sprocket Technology remain the property of the company until full payment is made.
B. Client Rights
Once the project is fully paid for:
- You receive full ownership of the final deliverables
- We retain the right to showcase your project as part of our portfolio
- We may retain internal source files for backup and security
8. Revisions & Modifications
A. Standard Projects
- Most projects include 2–3 rounds of revisions
- Additional revisions may incur extra fees
B. Major Changes
Changes not included in the original agreement (e.g., redesign, extra features, new sections) are billed separately.
9. Third-Party Services
Some services may require using third-party platforms, including:
- Hosting providers
- Domain registrars
- Payment processors
- Software APIs
- Cloud storage platforms
We are not responsible for downtime, data loss, or errors caused by third-party systems.
10. Limitation of Liability
Sprocket Technology is not liable for:
- Loss of revenue, profits, or data
- Cyberattacks, viruses, or hacking incidents
- Errors caused by third-party services
- Delays outside our control
- Business losses resulting from website downtime
- Issues arising from client-provided content or materials
Our maximum liability will never exceed the amount the client paid for the service.
11. Indemnification
You agree to indemnify and hold Sprocket Technology harmless from:
- Claims arising from your misuse of our services
- Legal issues caused by content you provide
- Violations of laws, regulations, or intellectual property rights
12. Termination of Services
We may terminate your access or project if:
- You violate these Terms
- You fail to pay required fees
- You misuse our platform or services
- You behave abusively toward our staff
Termination does not remove your responsibility to pay outstanding invoices.
13. Confidentiality
We treat all client information—including business details, ideas, internal documents, and project files—as strictly confidential.
We will not share your information with anyone except:
- Authorized team members
- Approved third-party providers
- Where required by law
14. Data Protection
Your data is protected in accordance with:
- Our Privacy Policy
- Applicable data protection laws
We take security seriously and implement strong digital safeguards.
15. Portfolio Rights
You grant Sprocket Technology permission to:
- Showcase your completed project
- Display screenshots or designs
- Include your logo in our portfolio
If you prefer privacy, you may request removal.
16. Governing Law
These Terms are governed by the laws of:
